1. Agreement and order of precedence
These are proposed business-to-business terms for Northstone. The contracting entity, address, effective date, pricing, and governing-law terms require confirmation before acceptance. This review draft does not amend an existing agreement and cannot be accepted through the current sign-in screen.
Northstone is powered by Loomlogic (loomlogic.io).
An executed order form identifies the parties, subscribed features, fees, term, and any service commitments. A signed data-processing agreement controls conflicts about personal-information processing; the order form controls expressly negotiated commercial terms. Mandatory statutory protections continue to apply.
2. Eligibility, accounts, and authority
You must be an adult with authority to act for the subscribing organization. Administrators control membership and permissions. Keep credentials secure, use authorized accounts, promptly report suspected compromise, and remove access when someone leaves. The customer is responsible for its users’ authorized activity and instructions.
3. Service scope and demonstration
Northstone organizes real-estate records and supports briefings, relationship management, transaction tracking, and explainable recommendations. Features depend on the purchased scope, configuration, permissions, provider availability, and approved activation. Demonstrations, example records, roadmap descriptions, and unavailable integrations are not delivery commitments.
Northstone is not a real-estate broker, legal adviser, lender, appraiser, or investment adviser merely by supplying software. Users remain responsible for licenses, professional duties, transaction documents, deadlines, valuations, and decisions. The software does not guarantee a deal, revenue, financing, regulatory approval, or a particular outcome.
4. Customer content and intellectual property
The customer retains its rights in content it supplies. The proposed license to the operator is limited to hosting, securing, processing, and displaying that content to provide the agreed service and follow lawful customer instructions. It does not grant a general license to train shared foundation models on customer content.
The customer must have rights and valid permissions for uploads, contact information, communications, recordings, listing feeds, and materials from third parties. Respect confidentiality, copyright, database rights, feed licenses, and professional obligations. Northstone’s software, brand, and documentation remain the property of their respective owners. Optional feedback may be used to improve the product without disclosing customer confidential information.
5. Acceptable use
Use the service lawfully and within the agreed purpose.
- Do not access another tenant, bypass authorization, interfere with security, scrape restricted feeds, or distribute malicious code.
- Do not send unlawful spam, harass, impersonate a person, use deceptive synthetic voices, or record communications without required notice and authority.
- Do not use protected characteristics or inferred sensitive traits to discriminate in housing, credit, employment, or access to services.
- Do not use recommendations as an unreviewed decision about a person’s eligibility or rights. Do not upload prohibited or unlawfully obtained information.
- Security research requires an authorized scope; report suspected vulnerabilities privately through the support contact.
6. AI outputs and actions
AI-assisted outputs can be wrong, outdated, incomplete, or similar to another user’s output. Confidence scores are not a guarantee. Verify source material, material facts, citations, permissions, and intended recipients before relying on an output or approving an action.
The customer is responsible for meaningful human supervision and for configuring communication and booking authority. Sending a message, placing a call, scheduling an appointment, or updating an authoritative record may create consequences outside Northstone. Required consent, approval gates, suppression lists, and recipient checks must be satisfied first. See the AI transparency notice for additional use limits.
7. Fees, renewal, and cancellation
Only an executed order form or clearly presented checkout establishes fees, billing frequency, taxes, renewal, notice periods, and refund terms. This draft introduces no automatic renewal, cancellation fee, or paid subscription. Trials and beta features require their own stated limits. Material price changes require advance notice under the applicable agreement and law.
8. Confidentiality, privacy, and third parties
Each party must protect the other’s confidential information using reasonable care and use it only for the agreement. Exceptions cover information lawfully public, previously known, independently developed, or lawfully received, and legally required disclosures with permitted notice.
The privacy notice explains operator-controlled processing; customer-content processing requires the data-processing agreement. Third-party integrations have their own contracts and availability limits. Activating them must be an authorized customer choice supported by appropriate data and security review.
9. Availability, suspension, and termination
The service may have maintenance, defects, or provider interruptions. No uptime or recovery commitment is created unless expressly included in the order form. Beta and demonstration features may change.
Access may be limited proportionately to address a security threat, unlawful use, or material breach. Give notice and an opportunity to resolve the issue when reasonably possible and lawful. Termination, data export, and deletion must follow the agreement and applicable law. Before a paid launch, specify an export window, deletion process, and backup lifecycle; this draft promises no unverified timetable.
10. Warranties, liability, and disputes
Subject to mandatory law and express commitments in an executed agreement, the proposed service is supplied without a warranty of error-free operation or fitness for an unapproved use. No disclaimer excludes duties or remedies that cannot lawfully be excluded.
Liability caps, exclusions, indemnities, dispute venue, and governing law remain commercial/legal review items and are not imposed by this draft. Do not infer a waiver of privacy rights, consumer protections, fraud remedies, or the right to contact a regulator. There is no mandatory arbitration or class-action waiver in this draft.
Start an informal service dispute by emailing support@loomlogic.io. The final contract must specify any further process and preserve mandatory rights.
11. Language, updates, and contact
Before offering a standard-form contract to Québec customers, provide the required French version and follow the rules for any informed choice of another language. The English review draft is not a substitute for that process. Material revisions need versioning, appropriate notice, and acceptance where required; signing in is not acceptance of this draft.
Questions about the proposed terms can be sent to support@loomlogic.io. The final terms must identify the operator’s legal name and business address.
